We are not responsible for vulnerabilities or breaches resulting from your device, browser, extensions, operating system, local network, or third-party software, nor for the consequences of your failure to implement reasonable safeguards.
2) Changes to the Services or Terms
We may update the Services and these Terms from time to time. Updates take effect when posted (unless a later date is stated). Your continued use of the Services after changes are posted means you accept the changes.

- Access, scrape, or mine the Services by automated means except through publicly documented interfaces we provide.

5) Your Content and Feedback
If you submit, upload, or post any content to the Services (“User Content”), you represent you have the necessary rights and that it is lawful and accurate. You grant Aureus a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and distribute your User Content solely to operate, improve, and promote the Services and our mission. We may remove User Content that violates these Terms.

Include sufficient detail to identify the copyrighted work and the allegedly infringing material, your contact information, and statements of good-faith belief and accuracy. We may remove or disable access to the material and may terminate accounts of repeat infringers in appropriate circumstances.
11) Disclaimers
YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.
Australia: Nothing in these Terms excludes, restricts, or modifies any consumer guarantees, rights, or remedies that cannot be excluded, restricted, or modified under applicable law. Where permitted, our liability is limited to resupplying the relevant services or paying the cost of having them resupplied.
EU/UK consumers: Nothing in these Terms affects any mandatory rights you have under applicable consumer laws in your country of habitual residence.
12) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUREUS AND ITS DIRECTORS, OFFICERS, EMPLOYEES, VOLUNTEERS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IF, NOTWITHSTANDING THE ABOVE, WE ARE FOUND LIABLE TO YOU, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED US$100 OR THE AMOUNT YOU PAID TO US (IF ANY) FOR THE SERVICE AT ISSUE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE, WHICHEVER IS GREATER. THESE LIMITATIONS APPLY TO THE FULLEST EXTENT PERMITTED BY LAW.
13) Indemnification
You agree to defend, indemnify, and hold harmless Aureus and its directors, officers, employees, volunteers, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Services, your User Content, or your violation of these Terms or applicable law.
14) Termination and Suspension
We may suspend or terminate your access to the Services at any time if we believe you have violated these Terms or used the Services in a way that could cause harm. Upon termination, your license to use the Services ends. Sections intended to survive (including ownership, disclaimers, limitations, indemnity, and governing law) will continue to apply.
15) Governing Law and Venue
- For users primarily located in the United States: the laws of the District of Columbia (without regard to conflict-of-laws rules); exclusive venue in the state and federal courts located in Washington, DC.
- For users primarily located in Australia: the laws of New South Wales; exclusive venue in the courts of New South Wales, Australia.
If you are a consumer habitually resident in the EU or UK, you also retain any protection afforded to you by mandatory provisions of the law of your country, and you may bring proceedings in your local courts to the extent such rights cannot be waived.
You and Aureus consent to the personal jurisdiction and venue of the courts identified above.
16) Electronic Communications and Notices
By using the Services, you agree we may send you notices and other communications electronically (e.g., by email or through the Services). Retain copies for your records. For legal notices to Aureus, use privacy.officer@globaleducationfoundations.org and 1235 Pennsylvania Ave, Suite 5006, Washington, DC 20003.
17) Assignment
You may not assign or transfer these Terms or any rights hereunder without our prior written consent. We may assign these Terms without restriction.
18) Entire Agreement; Severability; Waiver; Force Majeure
These Terms constitute the entire agreement between you and Aureus regarding the Services and supersede prior or contemporaneous agreements on this subject. If any provision is held invalid or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce a provision is not a waiver.
Force Majeure. We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including without limitation: natural disasters; acts of God; war, terrorism, civil disorder, or embargoes; labor disputes or shortages; governmental actions; Internet backbone or connectivity failures; domain name system (DNS) issues; denial-of-service or other hostile network attacks; certificate authority or PKI failures; cloud service provider, data center, or hosting outages; severe bugs or zero-day exploits affecting widely used software; power outages; or third-party communications provider or ISP failures. Performance will be excused for the duration of the force-majeure event and for a commercially reasonable recovery period thereafter.
